HIREHUB RENTALS - TERMS & CONDITIONS

(Effective as of 10th February 2025)

1. DEFINITIONS

1.1 "Minimum Rental Period" refers to the agreed rental duration, starting from the delivery of the equipment until the expected return date.

1.2 "Equipment" includes all machinery, tools, vehicles, accessories, and parts provided by HireHub Rentals to the customer as specified in the Rental Schedule.

1.3 "Rental Fee" refers to the cost payable by the customer for the hire of Equipment, calculated based on the agreed rates and duration.

1.4 "Company" refers to Hire Network Pty Ltd.

1.5 "Customer" refers to the individual or business renting equipment from HireHub Rentals.

2. RENTAL AGREEMENT & RESPONSIBILITIES

2.1 Rental Period: The customer agrees to hire the Equipment for at least the Minimum Rental Period and to pay the Rental Fee in accordance with these terms.

2.2 Extensions: Rental extensions beyond the agreed period must be approved by HireHub Rentals. Additional rental charges will apply.

2.3 Possession & Condition: The customer assumes full responsibility for the Equipment from the time of delivery until collection. Equipment must be returned in the same condition as received, excluding fair wear and tear.

2.4 Equipment Usage: The customer agrees to:

• Operate the Equipment safely and in accordance with Australian laws and workplace safety standards.`
• Ensure only qualified personnel operate the Equipment.
• Not modify or relocate the Equipment without prior written approval.
• Secure the Equipment against theft, vandalism, and damage.
• Report any accidents, damages, or malfunctions within 24 hours.

2.5 Risk & Liability: The customer assumes all risks associated with the Equipment from delivery until return.

3. PAYMENT TERMS & FEES

3.1 Invoice Payments: All invoices must be settled:

• Within 7 days of issuance unless otherwise stated on the invoice.
• According to pre-agreed payment terms in the Rental Schedule.

3.2 Late Payments:

• A 2% per month interest charge applies to overdue invoices.
• A $150 monthly administration fee applies to overdue accounts.
• HireHub Rentals reserves the right to recover debt collection, legal, and enforcement costs from the customer.

3.3 Credit Card Authorisation: The customer authorises HireHub Rentals to charge overdue amounts to the credit card provided at booking without further approval.

3.4 Additional Charges: The customer may be charged extra fees for:

• Delivery & collection costs (mobilisation & demobilisation fees apply).
• Call-out services due to user error ($150/hr, min 4 hours + $1.60/km travel cost).
• Damage repairs or equipment loss.

4. CANCELLATION & REFUNDS

4.1 Cancellation by Customer:

• Cancellations within 24 hours of delivery may be subject to a cancellation fee.
• No refunds once the hire period has commenced.

4.2 Cancellation by HireHub Rentals:

• If Equipment is unavailable due to unforeseen circumstances, a full refund or alternative arrangement will be provided.

5. OWNERSHIP, SECURITY, AND INSURANCE

5.1 Equipment Brokerage & Ownership: HireHub Rentals operates as an equipment hire broker and does not own the Equipment. The Equipment remains the property of third-party suppliers from whom it is sourced. The customer must not sell, lease, or transfer the Equipment to any third party.

5.2 Security, Payment Obligations & Loss: The customer is responsible for the safekeeping of the Equipment and must ensure timely payment to HireHub Rentals. If the customer fails to make payment for the Equipment hire, HireHub Rentals reserves the right to pass on the unpaid costs to the customer, including any fees owed to third-party suppliers. Continued non-payment may result in the customer's details being shared with hire industry networks, potentially restricting future access to equipment hires from other providers. The customer indemnifies HireHub Rentals against any theft, loss, or damage.

5.3 Insurance Requirements:

• The customer must insure the Equipment against theft, loss, or damage.
• Public liability insurance must be held to cover risks associated with Equipment usage.

5.4 Personal Property Securities Law (PPS Law):

• This agreement may constitute a PPS lease under the Personal Property Securities Act 2009 (Cth).
• HireHub Rentals may register a security interest over the Equipment.
• The customer waives rights to receive verification statements under the PPS Law.

6. LIABILITY & INSURANCE

6.1 Liability for Fines: The Customer is solely responsible for any fines, penalties, or legal infringements incurred while the Equipment is in their possession or use. This includes, but is not limited to, fines resulting from improper placement, non-compliance with road regulations, or violations of local council rules. If HireHub Rentals or its third-party suppliers receive any fines related to the Customer’s use or location of the Equipment, the full cost of the fine, along with any associated administrative fees, will be passed on to the Customer for immediate payment.

6.2 Personal Guarantee for Business Customers: If the Customer is a company or trust, the person signing this agreement personally guarantees all obligations under this agreement, including payment of outstanding invoices. This guarantee remains binding regardless of changes in directorship or business structure.

6.3 Liability Disclaimer: Without limiting the generality of this agreement, HireHub Rentals is not liable for any injuries, damages, or financial losses arising from:

• Improper use of the Equipment.
• Accidents or operator errors.
• Delays, malfunctions, or breakdowns beyond HireHub Rentals’ control.

6.4 Customer Indemnity: The customer indemnifies HireHub Rentals against all:

• Claims, losses, damages, and legal costs resulting from Equipment use.
• Third-party claims or damages arising during the hire period.

6.5 Service Delays & Equipment Faults: HireHub Rentals and its third-party suppliers will use reasonable efforts to provide the Equipment in working condition and on time. However, HireHub Rentals is not liable for any financial losses, business interruptions, or additional running costs incurred by the Customer due to delays in delivery, equipment failure, or supplier issues.

If an issue arises, HireHub Rentals will work with the Customer to find a reasonable solution within a reasonable timeframe, which may include repair, replacement, or alternative arrangements. However, HireHub Rentals does not guarantee uninterrupted operation or immediate replacement in all cases.

7. TERMINATION OF AGREEMENT

7.1 HireHub Rentals reserves the right to terminate the agreement immediately if:

• The customer breaches any terms of this agreement.
• Equipment is used unlawfully or unsafely.
• Payment obligations are not met.

7.2 Upon Termination: The customer must immediately return the Equipment or allow HireHub Rentals to retrieve it at the customer’s cost. The customer remains liable for any unpaid hire fees, damage costs, and recovery expenses incurred by HireHub Rentals.

8. RIGHT TO SUSPEND FUTURE HIRES FOR NON-PAYMENT

8.1 HireHub Rentals reserves the right to suspend or refuse future equipment hire to any Customer with outstanding or overdue invoices, including any associated business entities or personnel.

9. DISPUTE RESOLUTION

9.1 If a dispute arises, both parties agree to attempt to resolve it in good faith through mediation before initiating legal proceedings. Mediation costs will be split equally.

10. DATA COLLECTION & PRIVACY COMPLIANCE

10.1 HireHub Rentals may collect, store, and disclose customer details to third-party hire networks, credit agencies, and debt recovery services in accordance with the Australian Privacy Act 1988. Customer information will not be shared for unrelated marketing purposes.

11. FINAL PROVISIONS

This agreement is governed by the laws of New South Wales, Australia, and any disputes shall be resolved in NSW courts.

By placing an order, making a payment, or electronically accepting this agreement, the Customer confirms that they have read, understood, and agreed to these Terms & Conditions, which shall be legally binding as if physically signed.
